1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the organization you represent ("Customer," "you," or "your") and 17932804 Canada Inc., operating as KeyKonnect ("KeyKonnect," "we," "us," or "our"), governing your access to and use of the KeyKonnect platform and related services (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

These Terms apply to all users of the Services including administrators, agents, and viewers. Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

2. The Services

KeyKonnect provides a call intelligence platform for property management companies, including:

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes where possible.

3. Accounts and Access

3.1 Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Authorized Users

You may invite users to access your organization's account. You are responsible for ensuring all authorized users comply with these Terms. You must promptly deactivate access for any user who leaves your organization or whose access should otherwise be revoked.

3.3 Account Security

You must notify us immediately at support@keykonnect.com if you suspect any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account credentials.

3.4 Minimum Age

You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet this requirement.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

5. Call Recording Obligations

This section is critically important. Call recording is subject to legal requirements that vary by jurisdiction. You are solely responsible for compliance with all applicable laws.

You are solely responsible for ensuring that all call recordings made through the Services comply with applicable federal, provincial, state, and local laws, including but not limited to:

KeyKonnect provides a configurable automated disclosure message that plays to callers before each call is connected. You are responsible for:

You agree to indemnify and hold harmless KeyKonnect from any claims, damages, fines, or legal fees arising from your failure to comply with applicable call recording laws. See Section 12 for full indemnification terms.

6. Data and Privacy

6.1 Your Data

You retain ownership of all call recordings, transcripts, and data generated through your use of the Services ("Customer Data"). You grant KeyKonnect a limited license to process, store, and use Customer Data solely to provide and improve the Services.

6.2 Data Processing

KeyKonnect processes Customer Data as a data processor on your behalf. You are the data controller for all personal information contained in Customer Data, including caller information. Our data handling practices are described in our Privacy Policy.

6.3 Data Security

We implement industry-standard security measures to protect Customer Data. See our Privacy Policy for details. You are responsible for the security of your account credentials and for any data you export from the Services.

6.4 No AI Training on Customer Data

We do not use your call recordings, transcripts, or Customer Data to train AI models without your explicit written consent.

6.5 Data Retention and Deletion

Upon termination of your subscription, we will retain your Customer Data for 90 days, after which it will be permanently deleted. You may request earlier deletion by contacting privacy@keykonnect.com.

7. Intellectual Property

7.1 KeyKonnect's IP

The Services, including all software, algorithms, AI models, designs, trademarks, and content created by KeyKonnect, are owned by 17932804 Canada Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights in KeyKonnect's intellectual property except the limited right to use the Services as described herein.

7.2 Your IP

You retain all intellectual property rights in Customer Data. KeyKonnect makes no claim of ownership over your call recordings, transcripts, or any other data you upload or generate through the Services.

7.3 Feedback

If you provide suggestions, feedback, or ideas about the Services, you grant KeyKonnect a perpetual, royalty-free license to use that feedback without restriction or compensation to you.

8. Payment and Billing

8.1 Fees

Access to the Services requires payment of subscription fees as agreed at the time of signup. All fees are quoted in Canadian dollars unless otherwise specified. Applicable taxes (including HST) will be added where required by law.

8.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis as selected at signup. All payments are due on the billing date. Failure to pay may result in suspension or termination of your access.

8.3 Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact support@keykonnect.com within 30 days of the charge.

8.4 Price Changes

We may change our subscription fees upon 30 days' written notice. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new fees.

8.5 Taxes

You are responsible for all applicable taxes associated with your use of the Services. KeyKonnect will collect and remit HST on invoices to Canadian customers as required by law.

9. Term and Termination

9.1 Term

These Terms commence on the date you first access the Services and continue until your subscription is terminated.

9.2 Termination by You

You may cancel your subscription by providing at least 30 days' written notice to support@keykonnect.com. Cancellation takes effect at the end of the notice period or the current billing period, whichever is later. No refunds are issued for unused time in the current period.

9.3 Termination by KeyKonnect

We may suspend or terminate your access immediately and without notice if:

9.4 Effect of Termination

Upon termination, your right to access the Services ceases immediately. Customer Data will be retained for 90 days post-termination and then permanently deleted. Sections 6, 7, 11, 12, and 13 survive termination.

10. Warranties and Disclaimers

KeyKonnect provides the Services on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including:

AI-generated content including call summaries, compliance flags, and agent scorecards is provided for informational purposes only. It does not constitute legal advice, HR advice, or a substitute for professional judgment. You are solely responsible for any decisions made based on AI-generated output.

11. Limitation of Liability

To the fullest extent permitted by applicable law, KeyKonnect's total cumulative liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the greater of:

In no event shall KeyKonnect be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless KeyKonnect, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Jurisdiction

You agree that any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. If you are accessing the Services from outside Canada, you consent to the jurisdiction of Ontario courts for any disputes.

13.3 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at support@keykonnect.com and give us 30 days to attempt to resolve the dispute informally.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last Updated" date above.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services before the effective date.
